Four M&A deals in 2020/2021 (Confidential) for PE's that I am actively advising.

Xaloy (2020):

  • Carve out from Nordson Corporation

  • Advised PE on several aspects including valuation, IT, market study, customer survey
     

Signature Systems (2019):

  • Sale of company

    • Interviewed 6 Bankers, chose Moelis & Co​

    • interviewed 3 accounting firms and chose GT for Q of E

    • Commissioned a market study with LEK

    • Developed CIM

    • Met with potential bidders over 3 rounds

    • Was personally engaged in negotiations

    • Closed the deal with a Sponsor to Sponsor sale

    • Record comps in industry: 8.2x TTM EBITDA

  • Divested of two divisions. Ran the process myself, doing deals directly with the buyers.

Horsburgh & Scott (2014-2017):

  • As CEO, I have played a key role in financially restructuring the company twice

  • Assessed 5 deals ($5M to $80M)

    • Chose not to go ahead on any due to factors ranging from leverage ratios
      being too high to issues related to key personnel

 

Ametek (2007-2014):

  • TSE ($50M revenue) - Interconnect solutions for the medical device industry

    • Technology and IP assessment

    • Strategy assessment

    • Channel assessment and sales synergies

    • FDA - Engaged and directed consultant performing FDA risk assessment

    • Post-acquisition integration

  • Dunkermotoren ($200M) - leader in advanced brush and brushless motion control solutions for a wide range of industrial automation applications

    • Due diligence core team (1 of 4 members)

    • Post-acquisition integration

  • Haydon Kerk ($80M sales) - linear actuators and lead screw assemblies for the medical, industrial equipment, aerospace, analytical instrument, computer peripheral and semiconductor industries

  • Due Diligence Team on Smiths Security (a UK company) - $100M deal
